Loveworld Consulate Limited. Version 1.2.
1.1. This Agreement is between Loveworld Consulate Limited ("the Company", "we", "us" or "our"), registered in England and Wales under company number 17445578, and each person or business registered to sell or advertise through https://uk.loveworldconsulate.org ("the Seller").
1.2. It applies to goods and services advertised through the Website and to sales completed through the Consulate marketplace checkout.
1.3. It should be read alongside the Website Terms of Use, Membership Terms and Conditions, Community Guidelines, Advertising and Business Promotion Policy and Shop Returns, Refunds and Cancellation Policy.
1.4. Nothing in this Agreement excludes statutory rights or liability that cannot lawfully be excluded.
2.1. Merchants must maintain an active Consul Plus membership and approved Merchant Registration to advertise goods or services through the Website.
2.2. Merchant Registration is subject to Company approval. Applicants must have authority to act for the business concerned and provide accurate information.
2.3. Merchant Registration fees are £20 or 20 Espees monthly, or £216 or 216 Espees annually. These fees are additional to the Consul Plus subscription.
2.4. Merchant Registration fees remain payable regardless of whether transactions are completed through the Consulate checkout or independently.
2.5. Merchant Registration does not guarantee sales, enquiries, bookings or income.
2.6. If the required Consul Plus membership or Merchant Registration ends, selling privileges may be suspended or end, subject to orders already accepted and applicable law.
3.1. You are the contractual seller of your goods and services unless the Company expressly agrees otherwise, and your identity and trading status will be disclosed to buyers before purchase where required.
3.2. You must describe goods and services accurately, disclose known material defects and show the total price, including any delivery charge.
3.3. You must hold any licences, permissions or authorisations your goods or services require.
3.4. You must comply with applicable consumer protection, product safety, trading, advertising, data protection and tax laws.
3.5. You must fulfil accepted orders within the time you state and keep buyers informed of delays.
3.6. Fraudulent listings, counterfeit goods, stolen property and dangerous or unlawful products are prohibited.
4.1. Listings and promotional content are subject to Company approval and may be refused, amended or removed where they are unlawful, misleading, unsafe or contrary to published rules.
4.2. You keep ownership of your content and allow the Company a non-exclusive, royalty-free licence to display and promote it on the Website while your listing remains live.
4.3. You must only use photographs and materials you have the right to use.
5.1. How a checkout sale is paid depends on how you are set up. Where Stripe has approved your connected account, a buyer's card payment is charged directly on your Stripe account and the Company's commission is taken as a fee on that payment. All other checkout payments, including Espees payments, are made to Loveworld Consulate Limited, which collects the payment and pays the balance due to you, subject to applicable financial regulation and payment-services requirements.
5.2. Loveworld Consulate Limited charges a 10% commission only on completed paid product sales processed through the Consulate marketplace checkout.
5.3. Commission is calculated on the item sale price, excluding separately stated delivery charges, unless separately agreed and disclosed.
5.4. Sellers ordinarily receive 90% of the item sale price, subject to refunds, reversals, chargebacks and other amounts properly deducted under this Agreement.
5.5. A balance the Company collects is paid in Espees to the wallet you give on the Get paid page in the Merchant Centre, through the Company's Espees reseller partner, at least 7 days after the order has been fulfilled and once the Company has approved the payment. The address must be accurate. Card payments on your Stripe account are paid out to you by Stripe under its own terms, and Stripe's processing fees on those payments are yours.
5.6. The Company may hold a settlement while a complaint, refund or suspected fraud concerning the order is being reviewed.
5.7. Commission on an item that is fully refunded will not be retained unless the Company has told you otherwise before the sale.
5.8. You are responsible for your own tax affairs.
6.1. Buyers' statutory rights apply to checkout sales, and you must honour them where you are the seller.
6.2. The Company administers payments and refunds for transactions completed through its checkout and may refund a buyer where the law requires or where a complaint is upheld.
6.3. Amounts refunded to a buyer may be deducted from what is owed to you, or recovered from you if already settled. A refund of a card payment on your Stripe account comes from your Stripe balance, and the refunded share of the commission is returned to you.
7.1. Buyers, product sellers and service providers may communicate directly outside the Loveworld Consulate website.
7.2. Parties may independently arrange product sales, service bookings, payments, deliveries, collections or other transactions outside the platform.
7.3. Such transactions are governed by the agreements made between the relevant buyer and seller or service provider, subject to applicable law.
7.4. No marketplace sales commission is charged on product transactions completed and paid for independently outside the platform.
7.5. No marketplace sales commission is charged on service transactions arranged and paid for directly between customers and service providers.
7.6. No percentage sales commission applies to genuine free transfers that do not involve a paid sale through the Consulate checkout.
7.7. Where a buyer and seller independently arrange a transaction outside the platform, Loveworld Consulate Limited does not ordinarily collect the payment or administer delivery, returns or refunds.
7.8. The parties remain responsible for their respective contractual and statutory obligations.
7.9. The Company may investigate complaints relating to misleading listings, fraud, unsafe goods, inappropriate merchant conduct or breaches of its Website rules, including where the relevant interaction originated on the platform.
7.10. You must take particular care when dealing with members aged 16 or 17, and must comply with the Community Guidelines, the Online Safety and Content Moderation Policy and the Safeguarding Policy.
8.1. Complaints about merchant conduct may be submitted to Unitedkingdom@loveworldconsulate.org.
8.2. Where a complaint is substantiated, the Company may issue a strike under its published merchant enforcement rules.
8.3. Two upheld strikes may result in removal of merchant privileges.
8.4. Serious fraud, dangerous goods or other urgent safety concerns may justify immediate suspension.
8.5. Sellers will ordinarily have an opportunity to respond to complaints and request a review of enforcement decisions.
8.6. Marketplace enforcement does not replace statutory consumer remedies.
9.1. You may use customer information only to fulfil the relevant order or enquiry, and must handle it in accordance with applicable data protection law.
9.2. You must not use it for marketing unless the law allows it.
9.3. The Company processes personal information in accordance with its Privacy Policy.
10.1. You may end this Agreement by cancelling your Merchant Registration through the Website or by contacting the Company.
10.2. The Company may suspend or end this Agreement for a breach of it, for two upheld strikes, or where reasonably necessary for legal, safety or fraud reasons.
10.3. Obligations to complete accepted orders, to honour buyers' rights and to pay amounts due continue after this Agreement ends.
11.1. Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded or limited.
11.2. Subject to that, the Company is not liable to the Seller for loss of profit, loss of business or indirect or consequential loss, and its total liability under this Agreement is limited to the Merchant Registration fees and commission paid in the 12 months before the claim.
12.1. The Company may update this Agreement and will give reasonable notice of material changes.
12.2. This Agreement is governed by the laws of England and Wales, and disputes will be subject to the courts of England and Wales unless mandatory law provides otherwise.
